Only thirty women, public figures are invited to serve on several boards of CAC40 companies. Reason: the cabinets, or the councils themselves, do not always seem to offer a wide range of directors. “We need to expand the pool of available profiles by 2017. At present, there is not enough visibility. And many more requests than offers,” observes Bernard Michel, Chairman of Directors of Gecina. The latter rose from 11% of women there five years ago to 50% today. And for all, it is their first term. Today, only a director Gecina has another term.
Three quarters of independent directors CAC40
Another distinguishing feature: the administrators appointed in 2012 are more often independent, ie external shareholders and family, than men, at 70.1% against 53.9%. A situation that occurs mainly in large companies. In the CAC40 companies, 74% of directors are independent, family shown being only 5%.
However, in small companies, the situation is different: the share of family directors – 38% – still higher than that of independent directors, to 32%. A situation that should change. “The 40% quota takes into account that the independent directors,” recalls Dominuqe Drouon. Within the SBF 120 companies, over 60% of directors are in their first term while more than half of the directors have a seniority in the position of 4 to 12 years. In 2015, 16.2% of directors are over 12 years of mandature against 5.5% for women.
The directors are against younger than their male counterparts. About 40% of the directors are under 60 years against 65% for women. Although the overall average age of all women and men increased slightly since 2013, the gender gap remains the same, with six years of difference. “We do not renew the old men, they are replaced by young women,” smiles Dominique Drouon. “The new directors have between 53 and 55, are still operational and generally do more dependent children,” explains the President. However, insists Bernard Michel, “the experience should prevail in the choice.”
More international profiles
Since 2013, requires companies internationalization, the share of women in these decision-making bodies is accelerating. In the CAC40, foreign women represent nearly 40% of directorships against 26% for men.
“Over the reappointments, there is every interest in taking international profiles, women and men, because competition is global,” Bernard Michel analysis. There are so many women of French and foreign origin that will integrate this year boards and SBF 120 monitoring. Among men, only 14.3% are foreigners.
However, resorting to international administrators is not simple. “The first recruitment period was international but these are figures that are expected to stagnate or regress” Dominique Drouon omen. The process is costly in terms of the operating budget and little practice if urgent meeting. “In addition, most boards are in French, added the president. You have to find a director who master the language of Molière, which is far from simple.”
